📑 SUMMARY OF PROCEDURES 📑

(Note: These are simplified summaries. Official procedures will be provided.)

COST, INSURANCE, FREIGHT (CIF) PROCEDURE

  1. Buyer issues Irrevocable Corporate Purchase Order (ICPO).
  2. Seller issues the draft SPA for buyer’s review and signing.
  3. Seller legalizes and registers the contract with the appropriate authorities.
  4. Buyer’s bank shall issue SBLC/DLC for the first shipment’s value to seller’s bank.
  5. Seller charters with a shipping company and provides vessel details to the buyer.
  6. Upon successful product confirmation at the destination port, the buyer makes payment by MT103.

FREE ON BOARD (FOB) – TANK TO TANK

  1. Buyer issues an official ICPO along with Tank Storage Agreement (TSA).
  2. Seller issues a Commercial Invoice (CI), Product Passport, and other verification documents.
  3. Buyer signs and returns the Commercial Invoice and Notice of Readiness (NOR).
  4. Seller issues Unconditional Dip Test Authorization (DTA), a fresh SGS report, and other key documents.
  5. Upon successful dip test, the buyer pays for the total product value and the seller transfers the title of ownership.
  6. Seller commences injection of the product into the buyer’s tanks.

FREE ON BOARD (FOB) – TANK TO VESSEL / DIP AND PAY

  1. Buyer sends an official ICPO.
  2. Seller issues Commercial Invoice (CI) for the buyer’s endorsement.
  3. Seller issues PPOP documents, including Dip Test Authorization (DTA) and Commitment to Supply.
  4. Buyer contacts the seller’s tank farm to pay for a tank storage leasing extension for 2-3 days to conduct a dip test.
  5. After a successful dip test, the buyer submits NOR from their shipping company, and the seller injects the product into the buyer’s vessel.
  6. Buyer issues 100% payment for the total value of the product by MT103/TT wire transfer.

TITLE TAKEOVER (TTO) PROCEDURE

  1. Buyer issues Irrevocable Corporate Purchase Order (ICPO).
  2. Seller issues a draft Memorandum of Understanding (MOU) for the buyer to sign.
  3. Seller sends documents for confirmation, including Bill of Lading, vessel details, and product passport.
  4. Buyer confirms the documents and makes a 5% down deposit as a security guarantee.
  5. Upon cargo arrival at the discharge port, the buyer’s inspection team conducts Q&Q inspection.
  6. After a successful inspection, the buyer makes the balance payment, and the seller transfers the title of ownership.

‼️ IMPORTANT NOTE ‼️

In addition to the IMPFA, the Buyer must sign a Finder’s Fee Undertaking to ensure that the future commissions to be owed to the Buyer’s intermediaries are secured. This commitment by the Buyer to guarantee the intermediaries’ commissions, as it will be outlined in the Finder’s Fee Undertaking, must be supported by a Performance Bond (PB) in the form of a Standby Letter of Credit (SBLC) issued by their bank. Furthermore, this commitment—excluding the NCNDA and IMPFA—must be authenticated by an officer from the Ministry of Foreign Affairs who will act as a notary at the US and UK Consulates.
